Mutual and drafted to be neutral.  Each obligation applies the same to each party. Each party will indemnify the other party for liabilities and losses related to a breach of the agreement. Describes the indemnification procedure including notification and defense. Also includes optional language for (1) an exception when losses are caused by the other party’s negligence and (2) a cap to limit each party’s liabilities.
